ABNR Advises PT Geo Energy Maritim’s Acquisition of Shipping Companies
ABNR is proud to announce its role as legal counsel to PT Geo Energy Maritim, an indirect subsidiary of Geo Energy Resources Limited, in connection with the successful completion of a momentous corporate transaction undertaken by the Geo Energy Group.
Through this transaction, PT Geo Energy Maritim has completed the acquisition of a 51% equity interest in Indonesian shipping companies, namely, PT Trans Maritim Pratama and PT Bahari Segara Maritim, marking a strategic expansion of the Group’s maritime and logistics proficiencies. The completion reflects the satisfaction of all conditions precedent under the relevant conditional share purchase agreements, with the sale shares officially transferred on 8 January 2026.
As part of the acquisition consideration, Geo Energy Resources Limited allotted and issued 275,196,480 new ordinary shares to the sellers on the completion date. Following the issuance, Geo Energy Resources Limited’s total issued share capital increased from approximately 1.43 billion to 1.71 billion shares (excluding treasury shares). The consideration shares are subject to a one-year lock-up period, subject to certain exceptions, and rank pari passu with the existing shares. These shares are expected to be listed and quoted on the Main Board of the Singapore Exchange.
