ABNR Advises Telkom Indonesia on IDR 49.85 Trillion InfraNexia Spin-Off, Completing an IDR 85.63 Trillion Digital Infrastructure Transformation
ABNR has advised PT Telkom Indonesia (Persero) Tbk (Telkom Indonesia) on the successful completion of the second phase of the spin-off of its wholesale fiber connectivity business to PT Telkom Infrastruktur Indonesia (InfraNexia).
Valued at IDR 49.85 trillion (approximately USD 2.8 billion), the Phase 2 spin-off completes the transfer of Telkom Indonesia's wholesale fiber connectivity business into InfraNexia and brings the aggregate value of the Phase 1 and Phase 2 transactions to IDR 85.63 trillion (approximately USD 5.0 billion). The transaction forms part of Telkom Indonesia's broader strategic transformation, named TLKM 30, and is among the largest telecommunications infrastructure reorganisations undertaken in Indonesia.
After the spin-off, InfraNexia now manages more than 112,000 kilometres of fibre-optic infrastructure, including approximately 26,000 kilometres of domestic submarine cable communication systems across Indonesia. Through this transaction, InfraNexia will further strengthen its role as a leading wholesale connectivity provider focused on developing Indonesia's digital connectivity infrastructure.
ABNR has been involved in the transaction initiative since its inception, advising Telkom Indonesia on the establishment and operationalisation of InfraNexia, the legal and regulatory framework for the business separation, licensing and telecommunications regulatory matters, operational transition arrangements, and the implementation of both Phase 1 and Phase 2 of the spin-off. Through this multi-year mandate, ABNR has supported the creation of one of Indonesia's most significant digital infrastructure platforms.
The transaction required close coordination across corporate, telecommunications, regulatory and employment workstreams. ABNR advised Telkom Indonesia on all key legal aspects of the project through a multidisciplinary team led by partners Emir Nurmansyah, Chandrawati Dewi, and Novario Asca Hutagalung, supported by senior associate Gerry Razi, associates Afif Hirzi and Tanisha Maharani, and trainee associates Irfan Sasongko and Jennifer Astrid. Employment aspects were led by partners Indra Setiawan and Ridzky F. Amin, supported by senior associate Marintan Panjaitan and associate Ricky Raytona, while telecommunications and regulatory matters were led by partner Mahiswara Timur.
