ABNR Advises PT Samudera Indonesia Tbk (SMDR) on IDR500 Billion Phase II Sukuk Ijarah Issuance for Strategic Maritime Expansion
We are pleased to congratulate our long-standing client, PT Samudera Indonesia Tbk (SMDR), on the successful completion of its Phase II public offering of Sukuk Ijarah, raising IDR500 billion (2025 SMDR Sukuk Ijarah). This follows the IDR550 billion Phase I issuance completed in 2023, marking a continued success for SMDR’s fundraising strategy under its perpetual public offering program.
ABNR acted as the independent legal consultant for both Phase I and Phase II issuances, working closely with SMDR to ensure smooth and efficient execution. Despite a tight timeline, our team successfully completed the legal due diligence and prepared the required documentation for submission to the Financial Services Authority (OJK), ensuring full compliance with regulatory requirements.
Proceeds from this issuance will support the business expansion of one of SMDR’s subsidiaries, particularly in developing key maritime infrastructure such as a shipyard (including slipway and graving dock), jetty, floating area, and other supporting facilities. These initiatives align with SMDR’s long-term strategic vision to strengthen its role in Indonesia’s maritime and logistics sectors.
