ABNR Advises Telkom Indonesia on USD 2.16 Billion Partial Spin-Off of Its Wholesale Fiber Connectivity Business and Assets
ABNR has advised PT Telekomunikasi Indonesia (Persero) Tbk (Telkom Indonesia) on the partial spin-off of its wholesale fiber connectivity business and assets to its subsidiary, PT Telkom Infrastruktur Indonesia (TIF), which operates under the InfraNexia brand.
Telkom Indonesia and its subsidiary, TIF, signed a Conditional Spin-off Agreement (CSA) on Monday, 20 October 2025. The transaction, valued at IDR 35.78 trillion (approximately USD 2.16 billion), is subject to the fulfillment of several conditions precedent and is expected to be completed by the end of the year.
This strategic move is part of Telkom Indonesia’s corporate action towards becoming a strategic holding entity focused on strengthening its digital infrastructure business foundation, creating added value for stakeholders by optimizing assets, enhancing operational cost efficiency, and unlocking value through infrastructure monetization and potential strategic partnerships. This initiative also underscores Telkom's commitment to supporting the acceleration of national agendas for equal connectivity access across Indonesia.
Telkom Indonesia sees this move as a natural response to the evolving global telecommunications industry. Dian Siswarini, CEO of Telkom Indonesia, explained that the spin-off is a strategic effort to address the rapid pace of digital transformation and the growing demand for high-capacity connectivity. "TIF’s presence not only strengthens TelkomGroup's position as the leading digital infrastructure provider in Indonesia but also allows us to introduce the latest, more competitive services and provide an improved experience for our customers," said Dian.
