ABNR Successfully Assists POSCO International on Landmark Acquisition of Sampoerna Agro
ABNR is pleased to announce that we have successfully assisted POSCO International, the trading and energy arm of the POSCO Group, on its acquisition of a 65.72% stake in PT Sampoerna Agro Tbk (SGRO) through its Singapore-based subsidiary, AGPA Pte. Ltd. This cross-border transaction, valued at approximately USD 566 million (IDR 9.44 trillion), represents one of the most significant agribusiness M&A deals in Indonesia this year. The acquisition involved 1.19 billion shares previously held by Twinwood Family Holdings Limited and was completed in accordance with OJK Regulation No. 9/POJK.04/2018 on public company takeovers.
Sampoerna Agro is one of Indonesia’s established plantation groups, operating over 129,000 hectares of estates, eight palm oil mills with a combined capacity of 510 tons FFB per hour, and a well-regarded seed-research subsidiary ranked second in the domestic market. With this acquisition, POSCO International’s Indonesian plantation portfolio now spans approximately 150,000 hectares, a transaction of this scale and regulatory complexity that ABNR was proud to support.
ABNR is honoured to have assisted POSCO International on this major cross-border investment and remains focused on helping global clients meet Indonesia’s regulatory requirements as industries move toward tighter international standards and cross-border compliance frameworks.
This transaction was supported by a multi-disciplinary team led by Emir Nurmansyah, Chandrawati Dewi, Ayik C. Gunadi, Indra Setiawan, Foreign Counsel Edgar Chang, together with Kartika Budianti, Sheila Alam, Karina Widyaputri, Yohanna Fifinella, Tifanny Natalia, Novario Asca, Abdurachman Sidik, Ilma Sulistyani, and Aldi Prapanca
