ABNR Advises Yamato on Acquisition of Indonesian Structural Steel Giant
We would like to congratulate our clients Yamato Kogyo Co., Ltd., Siam Yamato Steel Co. Ltd., and PT Hanwa Indonesia (the Indonesian subsidiary of a Hanwa Co., Ltd. of Japan) on their successful acquisition of 95% of shares in PT Nusantara Baja Profil (now PT Garuda Yamato Steel), from PT Gunung Raja Paksi, Tbk. and PT Gunung Garuda.
The deal, valued at over USD 400 million, marks a significant milestone in the growth strategy of our clients in acquiring one of the biggest structural steel manufacturers in Indonesia.
The deal was closed on Friday, 31 May 2024.
The complexity of this transaction demanded meticulous attention to detail and extensive collaboration. Over the course of three years, our team collaborated intensively with Katarina Svitekova, International General Counsel of Yamato Kogyo Co. Ltd. navigating every legal and regulatory aspect of the acquisition journey.
From structuring the transaction to conducting due diligence, implementing the post-merger integration, closing (transfer of the acquired shares) and managing the post-closing phase (merger control notification), ABNR as legal counsel to all three buyers provided comprehensive advice at every stage of the process.
